Terms of Service

These Terms of Service (the "Terms") are a legally binding agreement between you and Beatra ("we", "us"), and govern beatra.ai, docs.beatra.ai, console.beatra.ai, the Beatra API, MCP service, and related skills and tools (together, the "Service"). By creating an account or using the Service you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance and eligibility

You must be at least 18 years old and have full legal capacity to use the Service. If you accept these Terms on behalf of a company or other organization, you represent that you are authorized to bind it, and "you" also refers to that organization.

2. The Service

The Service provides media generation for AI agents and their users — creating and processing images, video, music, and speech — accessible through the console, API, MCP, and skills. Generation tasks are executed by models operated by third-party AI model providers.

The Service evolves continuously. We may add, change, replace, or retire any model, capability, interface, or feature at our discretion and without prior notice; what is actually offered prevails over pricing pages and documentation.

3. Accounts and security

You may create and access an account with an email one-time code, a Google account, a phone number, or WeChat sign-in. You must provide accurate information and keep your sign-in credentials, API keys, agent credentials, and callback signing keys secure.

You are responsible for all activity and charges under your account, including activity by any agent or program you have authorized. Notify us immediately at the contact below of any unauthorized use. We may suspend credentials or accounts for security reasons.

4. Credits, payment, and refunds

  • The Service is billed in prepaid credits. Credits are a prepaid usage allowance — not money, a deposit, or property; they bear no interest, are non-transferable, and are not redeemable for cash.
  • The price, credit amount, and validity period of packs and subscriptions are as shown at the time of purchase. Credits with a validity period lapse when it ends.
  • We may grant promotional credits (such as a sign-up gift) at our discretion, and may adjust or discontinue them; promotional credits create no ongoing commitment.
  • If a task fails for reasons attributable to us or an upstream model, the corresponding credits are automatically returned to your balance under our metering rules. Otherwise, to the maximum extent permitted by applicable law, fees paid and credits purchased are non-refundable.
  • Payments are processed by third-party payment providers (such as WeChat Pay, and other channels as they become available). Your relationship with a payment provider is governed by its terms.
  • We may change future pricing and offerings; changes do not affect completed purchases. You are responsible for applicable taxes.

5. Your content and license to us

You retain your rights in prompts, reference files, and other inputs you submit to the Service ("User Content"). You grant us a worldwide, non-exclusive, royalty-free license to store, reproduce, process, and transmit User Content for the purpose of providing, maintaining, protecting, and improving the Service — including transmitting it to third-party model providers to execute your tasks.

You represent and warrant that you hold the necessary rights in your User Content and that it does not infringe any third-party rights or violate applicable law.

6. Generated output

Subject to your compliance with these Terms and payment of applicable fees, we assign to you the rights and interests we hold in output generated for your tasks ("Output"), and you may use it for lawful purposes, including commercially.

You understand that AI generation is probabilistic: similar or identical inputs may produce similar or identical output for different users, and we do not warrant that Output is unique, copyrightable, or non-infringing. Verifying and deciding how to use Output is your responsibility.

7. Acceptable use

You must not use the Service to:

  • violate applicable law, or infringe any third party's intellectual property, likeness, privacy, or other rights;
  • generate sexual content involving minors, child sexual abuse material, or content that is unlawful, defamatory, harassing, or incites violence;
  • impersonate real people or fabricate their words or actions without consent (deepfakes), or commit fraud or spread disinformation;
  • circumvent billing, quotas, security, or access controls, or probe or attack the Service's infrastructure;
  • reverse engineer or scrape the Service, or resell or sublease it without our written permission;
  • impose unreasonable load in ways that may impair the Service or other users.

We may (but are not obliged to) refuse to execute, remove, or restrict any content or activity we reasonably believe violates this section.

8. Third-party services

The Service depends on third-party models, cloud infrastructure, storage, content delivery, sign-in, and payment services. Their availability and changes are outside our control; to the extent permitted by applicable law we are not liable for the effects of their interruption, change, or termination, though we will use reasonable efforts to mitigate.

9. Intellectual property

All rights in the Service itself — including software, interfaces, documentation, trademarks, and brand elements — belong to us or our licensors. No rights are granted to you other than those expressly stated in these Terms.

10. Disclaimer

To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, continuous availability, or freedom from error. AI-generated content may be inaccurate, incomplete, or offensive, and is not professional advice.

11. Limitation of liability

To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, special, punitive, or consequential losses, including lost profits, goodwill, or data.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you actually paid for the Service in the 12 months before the event giving rise to the claim, and (b) USD 100.

Nothing in this section excludes liability that cannot be excluded or limited under applicable law.

12. Indemnification

You will indemnify and hold us harmless from losses, liabilities, and reasonable costs (including reasonable attorneys' fees) arising from third-party claims caused by your breach of these Terms, your User Content, or your use of the Service or Output.

13. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, present a security risk, or fail to pay amounts due; where practicable we will notify you. If your access is terminated for breach, remaining credits are forfeited to the extent permitted by applicable law.

You may close your account at any time in console settings. After closure the account can no longer be signed in to, all agent credentials and API keys authorized for it are revoked, and any remaining credit balance is zeroed — see the Privacy Policy for details on deletion.

Sections 5, 6, 9-12, 15, and 16 survive termination of these Terms.

14. Changes to these Terms

We may revise these Terms from time to time. Revisions are published on this page with an updated date; we will provide reasonable notice of material changes via the site or console. Continued use of the Service after a revision takes effect constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of the Hong Kong Special Administrative Region of the People's Republic of China, excluding its conflict-of-laws rules.

Any dispute arising out of or relating to these Terms or the Service shall first be pursued through good-faith negotiation. Failing that, it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in Hong Kong under its administered arbitration rules in force at the time, in English or Chinese.

To the maximum extent permitted by applicable law, disputes may be brought only in an individual capacity, and not as a class or representative action.

16. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. If any provision is held invalid, the remainder stays in effect. Our not exercising a right is not a waiver of it. You may not assign these Terms without our written consent; we may assign them to an affiliate or business successor.

These Terms are offered in multiple languages; if versions diverge, the English version controls.
